1. Eligibility:
The Sweepstakes is offered only to who are at least eighteen (18) years of age or older at the time of entry (“Entrants”). Employees of Socios Services USA, Inc. (“Socios” or “Sponsor”), Professional Fighters League, LLC (PFL), a Delaware limited liability company with offices at 320 West 37th Street, 14th floor, New York, NY 10018 or any of Sponsor’s advertising agencies, officers, directors, agents and employees and their immediate family or household members (whether legally related or not) are not eligible to participate in the Sweepstakes or win a prize. A person cannot be an Entrant or Winner (as defined below) if such person is a person: (a) with whom U.S. persons or entities are restricted from doing business under regulations of the Office of Foreign Asset Control (“OFAC”) of the Department of the Treasury (including those named on OFAC’s Specially Designated and Blocked Persons List) or under any statute or executive order; or (b) who is acting, directly or indirectly, for or on behalf of any such person. For purposes of this Sweepstakes, immediate family members are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. 2. Sweepstakes Period
Sweepstakes period begins on March 8 2023 at time of posting on the US Socios Twitter page @SociosUSA and @SociosFighting and ends on March 31st, 2023 at 11:59:59 a.m. Eastern Time (the “Sweepstakes Period”)
3. Entry
You may enter by buying a $PFL Fan token and completing the ‘PFL Pre-Season Predictions’ game on the Socios.com app. Upon completing the entry method, and subject to the conditions below, you will automatically be entered into the Sweepstakes. Proof of entry submission does not equate to proof of receipt. Entrants agree to be bound by the Official Rules.
LIMIT ONE ENTRY PER PERSON DURING THE SWEEPSTAKES PERIOD (REGARDLESS OF WHETHER MORE THAN ONE PERSON USES THE SAME E-MAIL ADDRESS). If more than one entry is received, only the first entry will be entered into the Sweepstakes, and all other entries will be disregarded. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. The potential winner(s) may be required to show proof of being the authorized account holder.
No responsibility is assumed for lost, late, incomplete, stolen, misdirected or illegible entry; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/Web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention. No mass entries or mechanically reproduced entries will be accepted. All entries become the exclusive property of Socios Services USA, Inc. and will not be returned or acknowledged. Any attempts by an individual to access the Website via a bot script or other brute-force attack will result in that IP address becoming ineligible. Socios Services USA, Inc., will prosecute any fraudulent activities to the full extent of the law. Socios Services USA, Inc. reserves the right to suspend or terminate this Sweepstakes without notice if, in Socios Services USA, Inc. sole discretion, the Sweepstakes becomes infected or otherwise corrupted.
4. Drawing
One (1) drawings in total will be conducted by the Sponsor and held on or about March 31, 2022. One (1) Winner (“Winner”) will be selected randomly by the Socios from all eligible entries received during the Sweepstakes Period. Winner of drawing will be notified by text, email, telephone, direct message, overnight carrier or regular mail within approximately two (2) days of the drawing. If, after two (2) attempts, contact has not been made, prize will be forfeited, and an alternate winner will randomly be selected from the eligible entries received during the Sweepstakes Period. Fulfillment agent must speak with potential winner.
5. Prize/Odds
In accordance with these Official Rules, One (1) Winners (the “Winner”) will be awarded the following prize: One (1) pair of signed PFL gloves. Athlete to be determined. (the “Prize”)
Odds of winning will be determined by the total number of entries received during the Sweepstakes Period. No assignment, transfer or substitution of prize is permitted except by the Sponsor in the event of prize unavailability.
6. Tax and Responsibility
Socios will file an information return for the payment with the Internal Revenue Service (26 C.F.R. § 1.6041-1) and issue the Winner an IRS Form 1099-MISC as required by law. Taxes on or connected with the prize and the reporting consequences thereof are the sole responsibility of Winner.
7. General Conditions
Winner may be required to execute and return a Publicity Waiver/Release within two (2) days of notification of the prize, where lawful. Failure to return document timely, or if prize notification or prize is returned as non-deliverable, Winner may be disqualified with an alternate winner selected. The Prize cannot be transferred, assigned, or redeemed for cash. Unless otherwise set forth herein, each Winner shall be solely responsible for any and all costs not specifically described as part of the Prize, including any and all of his/her travel expenses, accommodations, travel to/from and parking at the Arena to attend the game, and any food and beverages. Where permitted by law, Winner agrees to grant Sponsor and PFL the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the Winner’s name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may be determined from time to time by Sponsor or PFL. Failure to make such appearances or grant such rights may result in disqualification with an alternate winner or potential winner selected; and while not obligated to do so, Socios may, in its sole discretion, bear such reasonable costs and expenses which Socios, in its sole discretion, deems appropriate for Winner or potential winners to appear for a presentation or other activity. Further, each Winner and Entrant agrees to release and hold harmless Sponsor, PFL, and their respective employees, agents, officers, directors, members, managers and owners; (collectively, the “Released Parties”) from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Sweepstakes related activity, or participation in this Sweepstakes.

Winner and Winner’s respective guests must comply with all Arena rules and regulations and all protocols and guidelines required by PFL as it relates to COVID-19. Winner acknowledges that an inherent risk of exposure to COVID-19 exists in any place where people gather. COVID-19 is an extremely contagious disease that can lead to severe illness and death. Winner and Winner’s guests assume all risks, hazards, and dangers arising from or relating in any way to the risk of contracting COVID-19 or any other communicable disease or illness, or a bacteria, virus, or other pathogen capable of causing a communicable disease or illness, whether occurring before, during, or after attending the game however caused and contracted, and voluntarily waives all claims and potential claims against the Released Parties relating to such risks. Winner and Winner’s guests must comply with all PFL and Arena rules and regulations, including without limitation, policies and procedures relating to COVID-19 (“COVID-19 Policies”). Failure to do so will result in forfeiture of the Prize. PFL or Sponsor reserves the right to remove or deny entry to the Winner and Winner’s guests who fail to comply with all COVID-19 Policies, engage in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person at the game.
8. Limitations of Liability
The Released Parties will not be responsible for any incorrect or inaccurate information and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation, theft or destruction. IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10. Dispute Resolution
In the event of any disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, including but not limited to any game or any prize, or the breach, enforcement, interpretation, or validity of these Official Rules or any part of it (each, a “Dispute”), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party thirty (30) days in which to respond to or settle the Dispute. Notice of a Dispute shall be sent to: (a) Sponsor, at SOCIOS 8275 S Eastern Avenue, Suite #200-648, LAS VEGAS NV 89123, or (b) Winner or Entrant, at the address on file for Winner or Entrant. Winner, Entrant, and Sponsor agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS AS DESCRIBED BELOW. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you or Sponsor would otherwise have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be exclusively submitted for binding arbitration under the rules of the American Arbitration Association (“AAA”) then in effect, before one arbitrator to be mutually agreed upon by both parties (or, if not agreed within 30 days of the first party proposing an arbitrator, determined under AAA rules). The Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration. The award determined by the arbitration will be final and binding, except for any right of appeal provided by the Federal Arbitration Act, and may be entered in any court having jurisdiction over the parties for purposes of enforcement. The place of such arbitration shall be the State of Nevada. Any Disputes not subject to the arbitration provision discussed above shall be resolved exclusively in the federal or state courts sitting in the State of Nevada and Winner, Entrant expressly consent to the jurisdiction of and venue in such courts and waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts for purposes of litigating any such claim or action. Each participant agrees to service of process by mail or other method acceptable under the laws of Nevada.
