1. Eligibility:
The Sweepstakes is open only to legal United States residents who live within a 75 mile radius of Los Angeles, California, and who are at least eighteen (18) years of age or older at the time of entry (“Eligible Entrants”). Employees of Socios Services USA, Inc. (“Socios” or “Sponsor”), The Los Angeles Lakers, Inc., a California corporation (“Lakers”) and the National Basketball Association (“NBA” and collectively with Sponsor and Lakers, the “Sweepstakes Entities”), or any of the Sweepstakes Entities’ advertising agencies, affiliates, or subsidiaries, or any of their respective officers, directors, agents and employees and their immediate family or household members (whether legally related or not) are not eligible to participate in the Sweepstakes or win a prize. A person cannot be an Eligible Entrant or winner if such person is a person: (a) with whom U.S. persons or entities are restricted from doing business under regulations of the Office of Foreign Asset Control (“OFAC”) of the Department of the Treasury (including those named on OFAC’s Specially Designated and Blocked Persons List) or under any statute or executive order; or (b) who is acting, directly or indirectly, for or on behalf of any such person. For purposes of this Sweepstakes, immediate family members are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. 2. Sweepstakes Period
Sweepstakes period begins on March 29, 2023 at time of posting on the US Socios Instagram page @SociosUSA and ends on April 2, 2023 at 11:59:59 p.m. Pacific Time (the “Sweepstakes Period”).
3. Entry
You may enter by going to www.instagram.com/sociosusa and performing the following (1) follow the Instagram user @SociosUSA, (2) clicking the like button in the post in the link, and (3) providing a comment/tag in the post in the link. Upon completing the entry method, and subject to the conditions below, you will automatically be entered into the Sweepstakes. Proof of entry submission does not equate to proof of receipt. Entrants agree to be bound by these Official Rules.
All information submitted via Instagram must be submitted pursuant to and is subject to these Official Rules and Instagram Site’s terms of use, privacy policy, and other applicable Instagram policies accessible at help.instagram.com. By entering, each entrant acknowledges that Sponsor has no obligation to use or post any entry submitted. If entrant has committed or commits any act or becomes involved in any situation or occurrence which brings entrant into public disrepute, contempt, scandal or ridicule or which shocks, insults or offends the people of the community or any class or group thereof or reflects unfavorably on any Sweepstakes Entities or their respective products/services, entrant may be disqualified by Sponsor in its sole discretion.
LIMIT ONE ENTRY PER PERSON DURING THE SWEEPSTAKES PERIOD (REGARDLESS OF WHETHER MORE THAN ONE PERSON USES THE SAME INSTAGRAM ACCOUNT). If more than one entry is received, only the first entry will be entered into the Sweepstakes, and all other entries will be disregarded. In the event of a dispute as to any entry, the authorized account holder of the Instagram account used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned to an Instagram account by Instagram.com. The potential winner(s) may be required to show proof of being the authorized account holder.
No responsibility is assumed for lost, late, incomplete, stolen, misdirected or illegible entry; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/Web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention. No mass entries or mechanically reproduced entries will be accepted. All entries become the exclusive property of Sponsor and will not be returned or acknowledged. Any attempts by an individual to access the Instagram website or mobile app via a bot script or other brute-force attack will result in that IP address becoming ineligible. Sponsor will prosecute any fraudulent activities to the full extent of the law. Sponsor reserves the right to suspend or terminate these Sweepstakes without notice if, in Sponsor’s sole discretion, the Sweepstakes becomes infected or otherwise corrupted.
4. Drawings
One (1) drawing in total will be conducted by Socios on or about April 3, 2023. Ten (10) potential winners of the First Prize (as defined herein), ten (10) potential winners of the Second Prize (as defined herein), and two (2) potential winners of the Third Prize (as defined herein) (each a “Winner” and collectively the “Winners”) will be selected randomly by Socios from all eligible entries received during the Sweepstakes Period. Potential winners of the drawing will be notified by text, email, telephone, direct message, overnight carrier or regular mail within approximately twenty-four (24) hours of the drawing. If, after two (2) attempts, contact has not been made with a potential winner, the applicable prize will be forfeited, and an alternate potential winner will randomly be selected from the eligible entries received during the Sweepstakes Period. Sponsor or Sponsor’s fulfillment agent must speak with each potential winner.
5. Prizes/Odds
First Prize: In accordance with these Official Rules, ten (10) Winners will each be awarded one (1) “First Prize” consisting of two (2) tickets to one (1) Los Angeles Lakers NBA regular season home game at Crypto.com Arena in Los Angeles, California (“Arena”) on April 7, 2023 or April 9, 2023, as determined by Sponsor in its sole discretion. Approximate retail value (“ARV”) of each First Prize ranges from US$450-US$780.ARV of game tickets subject to fluctuation based on the actual game date and seat locations determined by Sponsor and current market value at the time prize is awarded.
Second Prize: In accordance with these Official Rules, ten (10) Winners will each be awarded one (1) “Second Prize” consisting of one (1) TeamLA gift card valued at US$500 valid for eligible purchases at teamlastore.com and at participating TeamLA store locations in Los Angeles, California (subject to any card terms and conditions determined by card issuer). ARV of each Second Prize is US$500.
Third Prize: In accordance with these Official Rules, two (2) Winners will each be awarded one (1) “Third Prize” consisting ofone (1) basketball autographed by a current or former Los Angeles Lakers player. ARV of each Third Prize is US$150. ARV of each Third Prize includes the unautographed value of the basketball.
The “First Prize”, “Second Prize”, and “Third Prize” may be referred to herein individually as a “Prize” and collectively as “Prizes”.
Odds of winning will be determined by the total number of entries received during the Sweepstakes Period. No assignment, transfer or substitution of prize is permitted except by the Sponsor in the event of prize unavailability.
6. General Conditions
Winners will be required to execute and return a Publicity Waiver/Release and a Prize Affidavit within two (2) days of receipt of notification from Socios of the Prize. Failure to return said documents in a timely manner, or if Prize notification or Prize is returned as undeliverable, Winner may be disqualified with an alternate Winner selected. Prizes cannot be transferred, assigned, or redeemed for cash. Unless otherwise set forth herein, each Winner shall be solely responsible for any and all costs not specifically described as part of the Prize including any and all of his/her travel expenses and accommodations and any applicable taxes. Where permitted by law, Winners agree to grant Socios and the other Sweepstakes Entities the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winner’s name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may be determined from time to time by the Sweepstakes Entities in their sole discretion. First Prize Winner and First Prize Winner’s guest must also comply with all applicable Los Angeles Lakers ticket terms and conditions and all applicable laws, policies, orders, protocols, and guidelines issued by federal, state, and local authorities respecting COVID-19 and other communicable diseases, and attendance at Los Angeles Lakers games is conditioned on such compliance. 9. Dispute Resolution
In the event of any disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, including but not limited to any game or any prize, or the breach, enforcement, interpretation, or validity of these Official Rules or any part of it (each, a “Dispute”), the parties shall first try in good faith to settle such Dispute by providing written notice to the other parties describing the facts and circumstances of the Dispute and allowing the receiving party(ies) thirty (30) days in which to respond to or settle the Dispute. Notice of a Dispute shall be sent to: (a) Sponsor, at SOCIOS 8275 S Eastern Avenue, Suite #200-648, LAS VEGAS NV 89123, or (b) Winners or eligible entrants, at the address on file for such Winner or entrant. Winner, eligible entrant, and the Sweepstakes Entities agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, WINNERS AND ENTRANTS AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS AS DESCRIBED BELOW. The award determined by the arbitration will be final and binding, except for any right of appeal provided by the Federal Arbitration Act, and may be entered in any court having jurisdiction over the parties for purposes of enforcement. The place of such arbitration shall be the State of California. Any Disputes not subject to the arbitration provision discussed above shall be resolved exclusively in the federal or state courts sitting in the State of California and Winners and eligible entrants expressly consent to the jurisdiction of and venue in such courts and waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts for purposes of litigating any such claim or action. Each participant agrees to service of process by mail or other method acceptable under the laws of California.
